I. Binding Agreement 1. This Website is provided to you for your use subject to these provisions of this Agreement. This Agreement form a binding agreement between you and the Administrator. By accessing or using this Website, you agree to accept and/or to be bound by these Terms. You also agree to use this Website at your own risk. 2. The Administrator may update the stipulations in this Agreement from time to time for legal or regulatory reasons or to allow the proper operation of the Website. Purpose of the Website The purpose of this Website is to allow the participating Hospitals belonging to the Mount Grace Network to advertise job vacancies, particularly in the nursing department, and to allow a prospective candidate (You) to directly apply with any of the hospital/s who advertised a job vacancy. The Administrator shall not, and will never, require, collect, or receive any form of payment or fee from you. Definitions 1. “Administrator” shall mean Mt. Grace Resources Management, Inc., whose role is strictly to provide, host, and maintain the Website, where an Employer can advertise a job vacancy and where a Candidate may directly communicate to said Employer to apply for the job it advertised. 2. “Agreement” shall refer to the provisions of this contract denominated as “Terms of Use”. 3. “Database” shall refer to any and all information about job advertisements posted on the Websites, and information about candidates, and employers registered through the use of the Website. 4. “Employer” or “Employers” means a hospital belonging to the Mount Grace Network that is accessing the Website to advertise a job vacancy for its nursing services, and who shall directly communicate with you, if and when you submit an application to said hospital. 5. “Employer Materials” includes any brochures, emails, job postings, web site content, career fair material, audio, videos, photographs, logos, trademarks, service marks, domain names, documents or other materials provided by Employer, if any, for use in connection with the Website. 6. “Candidate” refers to you, who is a user who is accessing the Website to search for a job as a nurse from the list of jobs advertised by any of the Employers. 7. “Website” shall refer to https://www.mtgracehospitalsnetworkcareers.com.ph. IV. Registration 1. By creating an account in, or using the, Website, you guaranty that you are a duly registered nurse, who is licensed to practice in the Philippines. 2. You ensure that all information you will enter and register are correct and complete. 3. For any changes in the information you registered, you undertake to update the same. 4. When you register to use the Website, you will be asked to create a username and password. In order to prevent fraud, you must keep this username and password confidential and must not disclose it, or share it with anyone. If the Administrator has reason to believe that there is likely to be a breach of security or misuse of the Website, the Administrator may require you to change your password or suspend your account. 6. V. Intellectual Property The Website and its contents, except the information provided by candidates and employers, are the exclusive property of the Administrator, including intellectual property rights such as trade mark and copyright. Therefore, you may not reproduce, modify, publish, distribute, display, or copy any part of the Website or its contents, including any portion of its source code, in whatever form or medium, for whatever purpose, without the prior written authority of the Administrator. VI. Administrator’s Representations 1. The Administrator shall not refer any candidate to any employer. 2. The Administrator shall not require, collect, or receive any payment or fee from any candidate. 3. The Administrator does not guaranty that the Website shall be free from any fault, error, risk of data breach, or harmful mechanisms (e.g. hacking, computer virus). The Administrator shall not interfere with the process by which any employer processes and evaluates the application of the candidate VII. Candidate’s Obligations and Warranties 1. Your right to access and/or use the Website shall be limited for the purpose of allowing you to register and/or create an account which shall contain your various personal and sensitive personal information, and to apply for a job advertised by a Hospital belonging to the Mount Grace Network. For this purpose, you hereby authorize the Administrator to require, record, store, and maintain all personal and sensitive personal information that you register and enter in the Website. 2. You shall not use the Website for any of the following purposes: a. disseminating any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material or otherwise breaching any laws; b. aggregating, copying or duplicating in any manner any of the content or information available from the Website, including expired job advertisements; c. reproducing any of the content or portion of the Website for any purpose; d. link to any content or information available from the Website; e. transmitting material that encourages conduct that constitutes a criminal offense, or otherwise breaches any applicable law, regulation, or code of practice; f. interfering with any other person’s use or enjoyment of the Website; or g. making, transmitting or storing electronic copies of materials protected by copyright without the permission of its owner and of the Administrator. 3. You may not assign any right that you may have under this Agreement to any person without the written consent of the Administrator. 4. By registering in, or using the Website, you allow the Administrator to share your personal and sensitive personal information to any employer. VIII. Term and Termination 1. These Terms shall remain in full force and effect for as long as your account remains active and you continue to use the Website. 2. In the event you commit any breach of any of the provisions of this Agreement, the Administrator may pursue any or all legal remedies, including but not limited to removal of your account from the Website, and immediate termination of your registration. In the event the Administrator incurs any cost in pursuing any of such remedies, you undertake to reimburse the Administrator upon its demand. IX. Indemnity 1. You agree to defend, indemnify, and hold harmless the Administrator, and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from: 1. any User Content or other material you provide to the Website; 2. Your use of the Website; or 3. Your breach of these Terms. 2. The Administrator shall notify you of any such claim, suit or proceeding. X. Miscellaneous 1. Administrator shall not be held responsible for any breach of these Terms caused by circumstances or events beyond its reasonable control. 2. If any of provision of this Agreement shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions of this Agreement and all provision not affected by such invalidity or unenforceability shall remain in full force and effect.
